Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Optic LM desktop application, the Optic Envoy web service, and any related services (collectively, the “Service”) operated by Optic (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 13 years of age to use the Service. If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly collect personal information from children under 13 in compliance with the Children's Online Privacy Protection Act (COPPA).
2. Description of Service
Optic LM is a desktop AI chat application available for download and local installation. The Service includes:
- Optic LM Desktop Application: A locally installed application that enables AI-powered chat interactions. User data, including conversation history and settings, is stored locally on your device.
- Optic Envoy (Web Service): An optional web-based companion service that enables remote access and control of the desktop or headless instance.
- Freemium Model: The Service offers a free tier with core functionality and optional paid subscription plans with additional features.
3. Accounts
You may be required to create an account to access certain features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4. AI Integrations and API Keys
4.1 Bring Your Own Key (BYOK)
The Service allows you to connect your own API keys from third-party AI providers (such as OpenAI, Anthropic, Google, and others). When you use BYOK:
- You are solely responsible for obtaining, managing, and securing your own API keys.
- Your use of third-party AI services is subject to the respective provider's terms of service, usage policies, and pricing.
- We do not store, transmit, or have access to your API keys beyond what is necessary for the Service to function on your local device.
- We are not responsible for any charges, rate limits, or account actions imposed by third-party AI providers.
4.2 Third-Party AI APIs
Where the Service integrates with third-party AI APIs on your behalf (such as through our paid plans), you acknowledge that:
- AI-generated content may be inaccurate, incomplete, or inappropriate.
- We do not guarantee the availability, accuracy, or reliability of any third-party AI provider.
- Your interactions with third-party AI services may be subject to those providers' data retention and privacy policies.
5. User Data and Privacy
5.1 Local Storage
The Service is designed with a local-first architecture. Your conversation data, preferences, and configurations are stored locally on your device. We do not collect, transmit, or store your conversation data on our servers unless you explicitly opt into features that require it (such as Optic Envoy).
5.2 Optic Envoy
When you use Optic Envoy, certain data may be transmitted between your device and the web service to enable remote access. This data is transmitted for the sole purpose of providing the remote access functionality.
5.3 Privacy Policy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Generate, store, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
- Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks connected to the Service.
- Use the Service to develop, train, or improve competing AI products or services without our prior written consent.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except as permitted by applicable law.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to generate content that violates any third-party AI provider's usage policies.
- Resell, sublicense, or redistribute access to the Service without our prior written consent.
7. Paid Subscriptions
7.1 Billing
If you purchase a paid subscription, you agree to pay all applicable fees as described at the time of purchase. Fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan).
7.2 Automatic Renewal
Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
7.3 Refunds
Refunds are handled on a case-by-case basis at our sole discretion. If you believe you are entitled to a refund, please contact us.
7.4 Price Changes
We reserve the right to change subscription fees upon reasonable notice. Any price changes will take effect at the start of your next billing cycle following the notice.
8. Intellectual Property
8.1 Our Rights
The Service, including its design, features, and underlying technology, is owned by Optic and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
8.2 Your Content
You retain ownership of any content you create, upload, or generate using the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive license to process your User Content solely as necessary to provide the Service to you.
8.3 AI-Generated Content
Content generated by AI through the Service is subject to the terms and conditions of the applicable AI provider. We make no claim of ownership over AI-generated content. You are solely responsible for your use of AI-generated content and ensuring it complies with applicable laws and third-party rights.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPTIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Optic from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including third-party AI provider terms; or (d) your User Content.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Since your data is stored locally, termination of your account does not result in deletion of data on your device.
You may stop using the Service at any time. If you have an active paid subscription, you may cancel it through your account settings.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the Service or by other reasonable means. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Optic operates, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration or file a claim in a court of competent jurisdiction.
15. General Provisions
- Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Optic regarding the Service.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
